CIPC Director Appointment, Resignation and Change Support
Make sure a director change is supported by the proper company decision, accurate information and a complete administrative process.
M&J Consultants helps companies coordinate director appointments, resignations and recorded-information changes. We first establish the type of change and available authority, because appointing a director, recording a voluntary resignation and attempting to remove a director are not the same process.
We do not treat a contested removal as routine administrative filing.

A CIPC update is only one part of the change
A properly managed director change may involve more than updating a registry record. Depending on the circumstances, the company may need valid approvals, notices, resolutions, consent or resignation evidence, updated statutory records and changes to banking or operational authorities.
The company's Memorandum of Incorporation and any relevant agreements should also be considered. M&J does not treat a contested removal as routine administrative filing.
Appointment, resignation and removal
Appointing a director
The appointment should be authorised through the appropriate company process, the incoming director's information should be verified and the internal records should be updated alongside the CIPC process.
Recording a resignation
A voluntary resignation should be supported by clear evidence of the resignation and its effective date. The company should then address the registry update and related mandates or access rights.
Removing a director
Removal can involve substantive legal rights and procedural requirements. If the director does not voluntarily resign or the matter is disputed, obtain legal advice before attempting to record the change.
Documents and information we may request
- Company registration number and current disclosure information
- Memorandum of Incorporation where relevant
- Identity and contact information for affected directors
- Consent to act for an incoming director
- Resignation evidence for a departing director
- Applicable notices, minutes or resolutions
- Effective dates and reasons for the change
- Authority for M&J to assist
The final requirements depend on the change, company documents and current CIPC procedures.
Our process
-
Classify the requested change
We confirm whether the matter is an appointment, voluntary resignation, information correction or potentially contested removal.
-
Check the supporting authority
We review the available company records and identify the approvals, evidence and signatures required for the administrative process.
-
Prepare the records and information
We coordinate the relevant resolutions or supporting documents and verify the information supplied for the filing.
-
Coordinate the CIPC process
Within the agreed scope and authority, we complete or coordinate the applicable registry process and monitor its administrative status.
-
Close out related updates
We provide the available outcome documents and a checklist of related records or third parties the company may need to update.
After a director change
The company should consider whether the change affects:
- Bank mandates and payment approvals
- Contract-signing authority
- SARS registered-representative information
- CIPC and beneficial-ownership information
- Internal director and governance records
- Insurance policies, licences and regulated registrations
- Access to company systems and confidential information
Because a director change can affect who is recorded as controlling the company, review your beneficial ownership filing at the same time, along with your CIPC annual return compliance.
Make the change with the right supporting record
Tell us whether you are appointing a director, recording a resignation, correcting information or dealing with a disputed change. We will confirm the appropriate next step.
- No obligation: we confirm scope before any work starts
- A clear next step, whether the matter is routine or complex
- Specialist referral where a matter needs legal interpretation

Frequently asked questions
Answers to what clients ask most before instructing us. If your situation is not covered here, ask us directly and we will tell you what applies to your company.
Ask a different question Can a director be removed without agreeing to resign?
Potentially, but removal is not equivalent to recording a voluntary resignation. Legal and procedural requirements apply, and the company should obtain legal advice where the matter is contested.
Does changing a director change the shareholders?
Not automatically. Directorship and share ownership are separate. If the person also owns shares, any proposed share transaction must be handled through the appropriate separate process.
Can a new director act before CIPC updates its records?
The answer depends on the validity and effective date of the underlying appointment and the context in which authority must be proved. Obtain legal advice where timing affects a material contract, dispute or regulated activity.
What if the current CIPC director information is wrong?
We first compare the registry information with available company records and evidence. The corrective route depends on why the information is wrong and what supporting documents exist.
How long does a director change take?
Timing depends on complete documentation, verification requirements, the nature of the change and CIPC processing. M&J does not guarantee a fixed CIPC turnaround.
Can M&J draft the required resolution?
We can coordinate standard administrative records within scope. Where the change is disputed, unusual or legally complex, the appropriate legal practitioner should advise on and prepare the documents.
