What we review
Company identity and status
We compare the company name, registration number, status and available registration documents.
CIPC annual returns
We identify the available evidence of filing and any annual-return periods that appear to require attention.
Beneficial ownership
We compare the available ownership information with relevant company records and identify apparent inconsistencies or missing support.
Directors and recorded information
We review the available director information against internal records and known changes supplied by management.
Shareholding and statutory records
Where included and applicable, we inspect the available share register, certificates, resolutions and transaction records for administrative consistency.
Core governance documents
We identify whether key incorporation and governance documents are available and whether known company changes appear to require supporting records.
Connected compliance actions
We flag apparent issues that may affect SARS, banking, licences, funding or due diligence. These are referrals or next-step recommendations, not a tax audit or legal opinion unless separately agreed.
What you receive

Example status framework
Red: immediate attention
An apparent issue may affect the company's status, a live transaction or its ability to provide reliable records.
Amber: evidence or correction needed
Information appears incomplete, outdated or inconsistent but requires confirmation before action.
Green: evidence available
The reviewed record appears available and consistent for the limited purpose of the health check.
Green does not constitute a legal guarantee. The review is based on the documents and information supplied.
Our process
-
Scope the company and transaction
We identify the entity, the reason for the review and any urgent deadline such as funding or due diligence.
-
Collect the available records
We issue a tailored checklist and receive documents through the approved secure process.
-
Review and reconcile
We compare the available CIPC information, ownership records, director information and supporting documents within the agreed scope.
-
Report the gaps
We explain what appears current, what is missing and what requires legal, tax or specialist interpretation.
-
Implement agreed corrections
M&J can quote separately for annual returns, beneficial-ownership work, director updates and other agreed administrative corrections.
This review is particularly valuable before funding
Funding applications frequently require company registration documents, director and shareholder information, tax evidence and reliable financial records. The IDC's published business-plan guidance, for example, asks applicants for legal-entity, tax, shareholder and management information.
A company secretarial health check cannot make a business fundable by itself, but it can prevent avoidable document inconsistencies from weakening an otherwise credible application.

Where the review finds gaps, the corrective work is handled through outstanding CIPC annual returns, beneficial ownership compliance or the process to update company directors, backed by ongoing company secretarial support.
Know what needs attention before someone else finds it
Start with the company name, registration number and reason for the review. We will send a tailored checklist and confirm the scope.
- No obligation: we confirm scope before any work starts
- A clear next step, whether the matter is routine or complex
- Specialist referral where a matter needs legal interpretation

Frequently asked questions
Answers to what clients ask most before instructing us. If your situation is not covered here, ask us directly and we will tell you what applies to your company.
Ask a different question Is this a legal audit?
No. It is an administrative company-secretarial review within an agreed scope. Matters requiring a legal opinion, disputed facts or statutory interpretation are referred for appropriate legal advice.
Does the review include SARS compliance?
Not automatically. We may flag apparent connected issues, but a tax-compliance review is a separate service delivered by the appropriate tax team.
Can you review more than one company?
Yes. We can scope a group review and report common and entity-specific actions across several companies.
What if records are missing?
Missing records are documented as gaps. We then recommend an evidence-based reconstruction, replacement or corrective process where one is available.
Will M&J complete the corrective work?
Yes, where the work falls within our services and authority. We provide a separate scope for agreed actions and refer legal or specialist matters when required.
How long does the review take?
Timing depends on the number of entities, record quality, scope and how quickly documents are supplied. We confirm an expected review period after the initial scoping.
